Board of Directors Resolutions

As per point of order conducted at the Friday March 20 meeting of the duly constituted Board of Directors, Edmonton Minor Hockey Association, operating under the name Hockey Edmonton, a society incorporated and registered under the Societies Act, RSA 2000, c S-14. 

 The following resolutions are adopted and in full effect under bylaw 7.7 Authority of the Board: 

 —

 Whereas the Tuesday March 10 gathering for financial presentation session, called in response to the request to address 11.4 Inspection of Books and Records, contravened and are not in compliance with Hockey Edmonton Bylaws 8.1 Meeting Guidelines, 8.2 Notice, 8.5 Special Meeting, 7.7 Authority of the Board and Robert’s Rules of Order, Revised (12th edition), the point of order conducted and all actions taken are out of order;

 Be it resolved that the point of order made and all actions taken at the March 10 gathering are invalid, thus null and void.

 Whereas the Wednesday March 11 notice for the Special Meeting called for Wednesday March 25, does not comply with Hockey Edmonton Bylaws 8.2 Notice, 8.5 Special Meeting, 7.7 Authority of the Board, and Robert’s Rules of Order, Revised (12th edition);

 Be it resolved that the Special Meeting scheduled for March 25 is unauthorized; therefore, any Special Meeting status is not official and invalid, thus null and void.

 Whereas the Tuesday March 10 financial presentation gathering did not abide by provisions of Hockey Edmonton Bylaws 6.1 Regular Membership, 8.1 Meeting Guidelines, 8.2 Notice, 8.5 Special Meeting, 7.5 Removal, 7.7 Authority of the Board and Robert’s Rules of Order, Revised (12th edition), any actions taken at that meeting, lacking authority, are hereby declared null and void;

 Be it resolved that the duly constituted board of directors prior to March 10 gathering is and remains the sole authority of Edmonton Minor Hockey Association, namely Hockey Edmonton, as per registered Societies Act.
